Terms and conditions of TravAmerica, Inc.’s “Oasis Travel Agent Reward Program” |

The following are the general terms and conditions of TravAmerica, Inc.’s Travel Agent Reward Program(The Program) and constitute the contents of the program that is offered by TravAmerica, Inc. (“TravAmerica”) for Oasis Hotels and Resorts (Oasis) to the "Agent-User" once the latter has agreed to participate in the program and has completed the program registration form (The Agent). |
1. TravAmerica reserves the right to cancel or change some or all of the Program, with or without prior notice. If the program is cancelled or otherwise discontinued, all points accumulated by any agent will be cancelled and will be of no value, force or effect. TravAmerica will make reasonable efforts to ensure that advanced notice is given should the program be cancelled or otherwise discontinued, but under no circumstances shall TravAmerica be responsible for any losses or damages caused by the
cancellation or discontinuance of the program. If the program is modified
by TravAmerica, Agent agrees to abide by all such modifications. If Agent does not wish to abide by any such modifications, then Agent’s participation in the program shall be deemed to be terminated and all points shall be forfeited. |

2. Fraud, abuse or failure to comply strictly with the terms of the program, including but not limited to credit or redemption of points, is subject to appropriate administrative and/or legal action by TravAmerica, including but not limited to forfeiture of points and prizes. |
|
3. Program rewards may not be sold, assigned, bartered or
purchased. Any points obtained in this manner or otherwise in violation of
program rules by any person or entity will be considered fraudulently
obtained and will be void. Other than as may be provided herein, points
have no cash value. Program will not pay any commission on bookings made prior to the agent's enrollment date.
Payment to agent will be made once account balance is at a minimum balance of $50 or more. |

4. Any tax liability, import duties or brokerage fees in
connection with the receipt and/or use of the Program rewards is the
responsibility of the Agent. |
|
5. All fee familiarization accommodations associated with
Program rewards will be approved only as designated by TravAmerica. |
|
6. The Program is offered only to retail travel agents and retail travel agency general managers. All employees and family members
of any Oasis Resort or Hotel and TravAmerica and its participating hotels are not eligible to participate. TravAmerica offers this Program on its own behalf
without the involvement of the Oasis Resorts and Hotels and under no circumstances are Oasis Resorts and Hotels liable in any way for the administration or
operation of the Program, including for redemption of rewards. Agent agrees
that by participating in the Program, it is only entitled to the Program’s rewards as provided herein, and in no way is TravAmerica liable for any
damages, losses or claims of any nature whatsoever, including but not limited to claims for rewards. |

7. The Reward level certificates, when issued shall be the property of the holder. TravAmerica reserves the right to cancel or refuse to redeem any rewards, in whole or in part, if used incorrectly by its holder, if used in violation of the terms and conditions of the program, if used in violation of the law, or if TravAmerica otherwise deems for any reason that it is necessary to cancel the Program or redemption of rewards. Participants must register proper ID in the Program system in order to redeem rewards and benefits. |

8. Upon the completion of the Program application form, every member accepts and authorizes TravAmerica to use the information supplied internally for promotional purposes. |
|
9. The Terms and Conditions of the Program are governed by and construed under the laws effective in the State of Georgia. Any claims, demands, causes of action or other complaints must be asserted solely in and are subject to the sole and exclusive jurisdiction and venue of the courts and tribunals of the State of Georgia in Gwinnett County, Georgia. |

TravAmerica Travel Agent Reward Program Terms and Conditions |

1. Travel agency general managers have the primary responsibility to register their agency and agents with the Program by completing the registration form in this website. To register themselves and their agents, general managers should follow instructions listed on the enclosed registration form. Individual agents may register themselves if agency manager accepts individual program involvement. |
|
2. Program points must be accrued on an individual basis; only the member may accumulate points in his or her account. Membership will be registered under the participant's full name. Information regarding an account is considered confidential to the agent and agency manager and shall be released
only to the member at the address recorded in our files at the time of redemption. |
|
If an agent leaves the agency or group, the agency has no right to keep the agent's accrued points. Rewards and points are non-transferable. Travel agent must inform TravAmerica of any changes in writing. Any accrued but unredeemed points at the time of an agent’s departure are forfeited. |
|
3. Program benefits and points are awarded per room, per night, based on the dates of passenger’s stay only. Rewards will be
provided at the different levels established by the Program. Program will not pay any commission on bookings made prior to the agent's enrollment date. |
|
4. Program points and benefits are awarded on the basis of rooms/night booked, as stated in the Program. For the purpose of this Program a room/night is defined as a confirmed and completed overnight stay at a designated Oasis Hotel during Program dates. |
|
5. To receive Program points for individual and package reservations at Oasis Hotels & Resorts, members must register their bookings in the option provided in this website. TravAmerica is not responsible for failure to comply with these Program requirements and no Program points will be rewarded if there is any failure to comply with Program requirements. |
|
6. Active participants may access their individualized statement on a regular basis. The statement will summarize previous account balance, regular and bonus points earned, redemptions (if any) and current balance. Participants are responsible for keeping reservation codes and bonus point records to compare with the information contained in the Program statements.
The Program is offered exclusively to retail travel agents, and and for individual bookings only. This program is not available to Internet/.com companies or their employees. This program is not offered to Tour Operators or Wholesale companies or their employees. All employees and family members of any Oasis Resort or Hotel and TravAmerica and its participating hotels are not eligible to participate. TravAmerica offers this Program on its own behalf without the involvement of the Oasis Resorts and Hotels and under no circumstances are Oasis Resorts and Hotels liable in any way for the administration or operation of the Program, including for redemption of rewards. Agent agrees that by participating in the Program, it is only entitled to the Program?s rewards as provided herein, and in no way is TravAmerica liable for any damages, losses or claims of any nature whatsoever, including but not limited to claims for rewards.
The program is offered only to retail travel agents and retail travel agency general managers located in the US and Canada only.

7. If your account is inactive or no bookings are made within 365 days, the account will be cancelled. |
